These Terms remain effective unless terminated by you or us. You may terminate them by ceasing use of the Service. We may terminate or restrict access if we reasonably believe you have violated these Terms. Obligations and liabilities incurred before termination survive.

Section 17 — Agreement to Arbitrate

Except for disputes eligible to be brought in small-claims court and requests for temporary or preliminary injunctive relief concerning intellectual-property or other proprietary rights, you and JH Direct Group, Inc. agree that any dispute, claim or controversy arising out of or relating to the Service, this website, our products or these Terms will be resolved by mandatory binding arbitration on an individual basis.

The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules and Mediation Procedures then in effect, except as modified by these Terms. The arbitrator has authority to determine questions concerning the existence, scope, enforceability or validity of this arbitration agreement, except that a court of competent jurisdiction will determine questions concerning the enforceability of the class-action waiver below when applicable law requires.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. Subject to the AAA rules and applicable law, the arbitrator may award the same individual remedies that would be available in court.

No Class Actions or Representative Proceedings

You and JH Direct Group, Inc. agree that each party may bring claims against the other only in an individual capacity. No dispute will be brought or resolved as a class arbitration, class action, private-attorney-general action, collective action, consolidated action or other representative proceeding. Unless both parties agree otherwise in writing, an arbitrator may not consolidate more than one person’s claims or preside over a representative proceeding.

If any part of this arbitration agreement is found unenforceable, it will be severed to the minimum extent necessary, and the remainder will continue in effect, except where applicable law requires a different result.

Section 18 — Entire Agreement

These Terms and the policies referenced in them constitute the entire agreement between you and us regarding the Service and supersede prior versions and communications concerning the Service. Our failure to enforce a provision is not a waiver of that provision.

Section 19 — Governing Law

These Terms and any separate agreements through which we provide the Service are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles, except to the extent another law applies and cannot validly be waived. The arbitration provision is governed by the Federal Arbitration Act.

Section 20 — Changes to These Terms

We may update these Terms by posting revisions on this page and changing the effective date. It is your responsibility to review the current version. Continued use of the website or Service after changes are posted constitutes acceptance of the revised Terms, to the extent permitted by law.
